The service
Our approach to
Technical Due Diligence
We review the architecture, code quality, security, privacy compliance, scalability and team practices, then deliver a plain-language report: what is solid, what is fragile, what fixing it would really cost, and whether it can support the growth you are betting on. It is useful to the people writing the cheque and to the founders receiving it.

Common blockers
Where this kind of work usually gets stuck
Problems that show up again and again when we first look at an account. Our plan is built to deal with each one.
Technology risk hidden in a deal
Investors and buyers often cannot see the true condition of the technology. We bring the risks to light before closing.
Technical debt nobody mentioned
Shortcuts hide behind a working product. We look at what is underneath.
Uncertainty about scale and team
Will the platform and the people behind it handle growth? We assess both.
Security and privacy gaps
Undiscovered weaknesses become the buyer’s liability. We find them during diligence.

How we keep the work accountable
Before work starts, we agree on the number that matters most to you. Each sprint is planned against it. You get a short recorded update every week and a dashboard you can open any time, and the senior lead joins every call.
- A senior lead runs your account from day one
- A recorded walkthrough each week and a shared reporting dashboard
- We work inside the tools and CMS your team already uses
- Target ranges written into the agreement before we begin
Our Process
Four stages of Technical Due Diligence
The same order every time: find the constraint, plan, deliver, then review. Here is what each stage involves.
Look past the demo
An independent reviewer reads the code, the architecture and the debt the pitch deck leaves out.
Test the growth plan
We judge whether the system and the team can deliver the plan, and estimate what fixing the gaps would take.
Find security and privacy gaps
Exposure under PIPEDA or Quebec Law 25, plus security weaknesses, gets flagged before it becomes the buyer's problem.
Write it up for the deal
A plain report covers risks, scalability and remediation cost so it can inform price and terms.

An independent look at the technology
A polished demo says little about the condition of the code behind it. We provide an independent review of the codebase, architecture, technical debt and engineering practices for investors, lenders and acquirers, including Canadian private equity and venture firms, so you understand what you are funding or buying. An honest outside assessment turns a black box into an informed decision.
- Codebase and architecture review
- Assessment of technical debt and shortcuts
- Engineering practice and quality review
- Independent, candid findings

Can the platform and team support the plan?
The useful diligence questions look ahead. Will the architecture scale? Is the debt manageable? Can the team deliver the roadmap? What would fixes cost in time and effort? We assess scalability, key risks and team capability and scope the remediation, so the findings feed into valuation and the post-deal plan. That tells you whether the technology can carry the business plan.
- Scalability and architecture risk review
- Remediation scoping for technical debt
- Team capability and practices
- Findings that support valuation and planning

Find exposures before they become yours
Security weaknesses and compliance gaps transfer to the buyer at closing. We review security posture, how personal information is handled under PIPEDA and provincial laws like Quebec’s Law 25, known vulnerabilities and any sector requirements, so the risks are known and priced before you sign. That prevents an expensive surprise after the deal closes.
- Security posture review
- Privacy and data-handling gaps under Canadian law
- Vulnerability and exposure findings
- Risks identified and priced before closing
